U.S. chip manufacturer Broadcom and cloud service provider VMware issued a joint statement stating that Broadcom’s $69 billion acquisition of VMware is expected to “still be completed soon,” but In any case, it must be completed before the merger agreement expires.

It is reported that the transaction agreement between the two companies will expire on November 26. It has been approved by regulatory authorities in Australia, Brazil, Canada, the European Union, the United Kingdom, Israel, Japan, South Africa, South Korea, etc., and has also been approved by all necessary jurisdictions. A foreign investment control license was obtained, but it does not appear to have been approved by Chinese regulators.

The companies said there are “no legal impediments to termination under U.S. merger regulations.” However, if the acquisition is terminated due to failure to obtain regulatory approval in time, Broadcom will have to pay a termination fee of US$1.5 billion.

If the Broadcom-VMware merger ultimately dies due to a lack of regulatory approval, it would mark the second time in five years that Broadcom’s merger failed because of geopolitics.

In 2018, the United States blocked Broadcom’s $142 billion acquisition of Qualcomm on the grounds that the acquisition of the American semiconductor giant by a company headquartered in Singapore at the time would raise national security concerns. Subsequently, Broadcom directly moved its headquarters to the United States.

According to reports, people familiar with the matter said today, Google plans to abandon Broadcom as early as 2027, switch to independent research and development of AI server chips.

The source said that earlier this year, Google and Broadcom failed to negotiate on the issue of chip pricing. For this reason, Google decided to abandon Broadcom as its AI chip tensor processing units (TPU) supplier.

This has been discussed extensively by Google executives. This means that Google will design its own TPU chips. According to estimates, this move can help Google save billions of dollars in costs every year. Currently, Google is investing heavily in artificial intelligence research and development. Compared with other types of research and development, artificial intelligence research and development is particularly expensive.

Broadcom CEO Chen Fuyang (Hock Tan) recently said that next year, generative artificial intelligence will account for more than 25% of the company’s semiconductor revenue. In the second quarter of fiscal 2023, which ended in April, AI revenue accounted for about 15% of Broadcom’s semiconductor revenue, compared with 10% in fiscal 2022.

Last year, Microsoft-backed AI startup OpenAI sparked an AI arms race in the tech industry after it released ChatGPT, a generative chatbot. This year, Google has also increased its investment in generative AI to catch up.

Research firm Similarweb data show that in August this year, Google’s AI chatbot Bard was visited 183 million times, only 13% of ChatGPT visits.

At the same time, people familiar with the matter also said, Google also plans to cooperate with chipmaker Marvell Technology, next year launched a new network chip, development code name “Granite Redux”.

The British regulator announced on Monday that it had approved the US technology company Broadcom’s acquisition of VMware for US$69 billion (Currently about RMB 504.39 billion), and had previously carried out the second phase of in-depth investigation. investigation.

Britain’s Competition and Markets Authority (CMA) provisionally approved the deal in July, saying it would not reduce competition in the supply of key computer server products.

The CMA launched an in-depth investigation after expressing concern in March that the deal could make servers more expensive. “After reviewing evidence gathered from Broadcom, VMware and other relevant parties, an independent CMA panel provisionally found that the transaction would not substantially reduce competition in the supply of server hardware components in the UK,” they said.

According to Reuters, the California Institute of Technology submitted a document to the US Federal Court on Thursday, and it is expected to reach a “potential settlement” with Apple and Broadcom on the data transmission patent in the Wi-Fi chip.

The incident dates back to 2016, when Caltech filed an indictment in Los Angeles federal court to formally sue Apple and Broadcom.

Caltech argues that millions of iPhones, iPads, Apple Watches and other devices that use Broadcom WiFi chips infringe a data transmission patent held by the university.

Apple is a major buyer of Broadcom chips, and the two sides reached a $15 billion chip supply agreement in January 2020, which will end in 2023. Broadcom estimates that 20% of its revenue comes from Apple.

In 2020, the court ordered Apple and Broadcom to pay Caltech US$837.8 million and US$270.2 million in patent infringement damages, totaling US$1.1 billion.

In 2022, however, a U.S. appeals court overturned that ruling and ordered a reopening of the issue of damages, arguing that the original award was “not legally supportable.”

The trial, originally scheduled to begin in June 2023, was postponed indefinitely in May.

In the document submitted by Caltech on August 10, it is clear that Broadcom has signed the settlement agreement, and it remains to be seen whether Apple decides to settle.

All parties have requested a joint status report by Friday, August 18, the report said. Attempts by Reuters to contact Apple, Broadcom and Caltech declined to comment.

AI wave swept the U.S. stock market, Apple, Microsoft, Google, Amazon, Meta, Nvidia and Tesla “seven giants” market capitalization soared 60% so far this year, to a shocking 11 trillion U.S. dollars. And the rising trend seems to continue, Nvidia, Microsoft, Broadcom and other leading U.S. stocks are continuing to hit a new record high.

On July 14, Nvidia’s early morning trading once rose more than 3%, shares hit a record high of $480 in the plate, nvidia has risen more than 217% this year.

Known as the next “Nvidia” Broadcom also touched a record high of $903.35 during the session, Broadcom has risen more than 60% this year.

Truist analyst William Stein said the two chipmakers have the most upside in the artificial intelligence chip market after conducting extensive industry research.

After Broadcom reported earnings that beat expectations, Wall Street analysts believe that Broadcom is likely to be the next company to benefit from the demand for AI infrastructure after NVIDIA. Broadcom CEO Hock Tan said on a post-earnings conference call that the demand for AI chips from a large number of companies in the AI boom will double the company’s AI-related revenue, which is expected to increase to about $7.5 billion in the next fiscal year.

Meanwhile, Microsoft, which is widely favored by Wall Street analysts, has continued to hit record highs.

On July 15, after Morgan Stanley, UBS also expressed bullishness on Microsoft and raised Microsoft’s price target to $400, Microsoft had risen more than 2% in the early trading session to $351.43, and is expected to hit the closing high of $348.10 set on June 15th.

Microsoft finally closed up nearly 0.8% to $345.24, up four days in a row approaching the June 15 record high, Microsoft also rose more than 44% this year.

UBS (UBS) analyst Karl Keirstead upgraded Microsoft’s rating to “buy” and raised its price target to $400, compared with the previous day’s closing price of more than 16% of the increase in space.

Morgan Stanley analyst Keith Weiss in the latest report, Microsoft became their first choice among large software companies, AI will help Microsoft take off and become the second after Apple among the three trillion dollar market capitalization of technology giants.

Morgan Stanley raised Microsoft’s price target for the next 12 months from $335 to $415 and maintained a hold rating on the stock, which means Microsoft still has room for about 20% gains and a market capitalization of about $3.1 trillion.

Shares of cybersecurity company Fortinet also set a new closing record amid the AI boom. fortinet closed up 0.9% to an all-time high of $78.92 on Friday. So far this year, Fortinet has risen more than 62 percent.

Morgan Stanley analyst Hamza Fodderwala said in a recent report that Microsoft’s gradual expansion in the cybersecurity space won’t have a major impact on cloud cybersecurity providers like Fortinet.

Reuters quoted a person familiar with the matter as saying that Broadcom’s plan to acquire cloud computing company VMware for US$61 billion will be approved by the European Union on Wednesday. Conditional antitrust approval.

As of the close of U.S. stocks on July 11, Botong closed at $882.05 per share, up 0.49%, with a market value of $364.009 billion; while VMware rose 5.29% to $151.53 per share, with a market value of $65.212 billion.

After months of negotiations with the EU, Broadcom has signed up to behavioural remedies, including a pledge to introduce interoperability standards to its technology to help rival Marvell compete more fairly, the source said.

In April this year, the European Commission stressed that it would not approve the acquisition unless there were adequate remedies. They argued that the deal could lead to “higher prices, lower quality and less innovation” for enterprise customers.

Broadcom last month successfully addressed European Commission concerns over its Fiber Channel host bus adapter (FC HBA) by offering an interoperability remedy to rival Marvell Technology, Reuters said.

At present, Broadcom is already the leading supplier in the field of FC HBA, which uses the Fiber Channel protocol to connect the server to the storage adapter located outside the server on the storage area network.

The VMware deal is Broadcom’s largest-ever acquisition as it looks to diversify into enterprise software. It is worth mentioning that the US Federal Trade Commission and the UK competition agency are also reviewing the deal.

The U.S. Supreme Court reportedly refused to hear Apple and Broadcom’s challenge to the validity of Caltech’s data transmission patents in a patent infringement lawsuit on Monday. At the same time, however, a retrial was denied for the $1.1 billion in damages the jury earlier found the companies should have paid to Caltech.

A Supreme Court judge denied Apple and Broadcom’s appeal of the lower court’s ruling. The earlier ruling affirmed a trial judge’s decision not to allow the two companies to challenge the validity of their patents in the Caltech lawsuit.

The U.S. Court of Appeals for the Federal Circuit, which specializes in patent cases, rejected the companies’ arguments, saying they failed to raise them in earlier USPTO review proceedings. Apple and Broadcom, on the other hand, argued that they should have been allowed to challenge the validity of the patents during the trial.

The jury previously found that Apple and Broadcom infringed Caltech’s patents, requiring Apple to pay $837.8 million in damages and Broadcom to pay $270.2 million in damages. However, the Federal Circuit challenged the amount of damages and remanded the case for a new trial to determine the appropriate damages award.

Caltech sued Apple and Broadcom in federal court in Los Angeles in 2016, claiming that millions of iPhones, iPads, Apple Watches and other devices using Broadcom WiFi chips infringed on data transmission patents held by the university.

Apple is a major buyer of Broadcom chips, and the two sides reached a $15 billion chip supply agreement in January 2020 that ends in 2023. Broadcom estimates that 20 percent of its revenue comes from Apple.

The Federal Circuit upheld the trial judge’s decision not to allow the companies to argue the invalidity of the patents at this stage, as they could have raised those arguments in their petitions for patent review filed with the U.S. Patent and Trademark Office.

Apple and Broadcom, however, told the Supreme Court that the Federal Circuit’s interpretation of the law was inaccurate, saying that the law only disallows arguments that might have been raised during the patent examination process. The U.S. government in May urged the judge to dismiss the case, saying the Federal Circuit’s interpretation of the law was accurate.

Caltech also sued Microsoft, Samsung Electronics, Dell and Hewlett-Packard, saying those companies also infringed on the same patent.

Reuters – U.S. chipmaker Broadcom Inc is reportedly close to receiving conditional approval from the European Union for its acquisition of cloud computing company VMware, multiple sources familiar with the matter said today.

In May 2022, Broadcom announced it would acquire VMware for about $61 billion in one of the largest technology deals ever. It was subsequently investigated by a number of regulators around the world, including the United States, the United Kingdom and the European Union.

In April, the European Commission, the EU’s antitrust regulator, publicly opposed the deal, saying it would block it unless adequate remedies were available. Broadcom subsequently proposed remedies to address the EU’s concerns.

Sources familiar with the matter said today that the European Commission’s eventual approval of the deal would depend largely on the interoperability remedies Broadcom would provide to its competitors. In response, the European Commission and Broadcom declined to comment.

The EU is scheduled to make a final decision by July 17.

One of the people familiar with the matter said that one of Broadcom’s proposed remedies focuses on “Fibre Channel Host Bus Adapters” (FC HBAs) and primarily addresses the concerns of rival Marvell Technology. Marvell Technology has not yet commented.

Broadcom primarily supplies chips for data center networking, as well as proprietary chips to power artificial intelligence (AI) efforts. The VMware acquisition comes on the heels of several large M&A deals, including acquisitions of semiconductor company LSI, networking technology maker Brocade, major software company CA and cybersecurity company Symantec’s enterprise security business.

Apple Inc. announced a major new partnership with Broadcom, one of its longtime supplier partners. Apple is calling it a “multi-billion dollar deal” that will see Broadcom develop and produce some key 5G RF components in the United States.

Under the partnership, Broadcom will develop and produce a range of key 5G RF components in the U.S., including FBAR filters and cutting-edge wireless connectivity components. FBAR filters will be designed and manufactured at several U.S. manufacturing and technology centers, including Ford Corinth, Colorado, where Broadcom has a major facility.

Apple said the company has helped support more than 1,100 jobs at Broadcom’s FBAR filter manufacturing facility in Ford Corinth, Colo. The partnership with Apple will allow Broadcom to “continue to invest in critical automation projects and skills upgrades for technicians and engineers.

Apple said the investment is part of the company’s 2021 plan to invest $430 billion (currently about RMB 3.03 trillion) in the U.S. economy over the next five years. To date, Apple said it is “on track to achieve its goals through direct spending with U.S. suppliers, data center investments, U.S. capital expenditures and other domestic spending.

The partnership agreement with Broadcom comes as Apple also continues to develop its own in-house technology to achieve a reduced reliance on Broadcom-supplied components such as Bluetooth and Wi-Fi components. For example, Apple is reportedly working on a chip that integrates Wi-Fi and Bluetooth functionality, which could be available as early as 2025. Apple has also been working on its own version of other iPhone components, such as an RF chip and wireless charging components, which are also currently provided by Broadcom.
